Our client base spans numerous industries. We acted as counsel for First Gen Corporation, the leading clean and renewable energy company in the Philippines, in its initial public offering of shares (“IPO”). The IPO involved an offering to the international capital market under Rule 144-A and Regulation S of the US Securities Act and a public offering of its shares to the domestic capital market. Through the highly successful IPO, First Gen raised approximately Php8.5 billion from both domestic and international offerings and enhanced its position as the leading independent power producer in the Philippines.

We also represented First Gen in its issuance of unsecured bonds worth Php5 billion to the public, and represented Rustans Supercenters, Inc., a leading retail company in the Philippines, in its issuance of convertible notes.  We likewise advised First Gen in its issuance of Php10 billion Series F preferred shares to qualified buyers and the public offering of its Php10 billion Series G preferred shares, which were registered with the Philippine Securities and Exchange Commission and listed with the Philippine Stock Exchange. We also acted as Philippine counsel for the international underwriter in the follow-on public offering of one of the largest real estate conglomerates in the country.

Our legal services for leading issuers, investment banks and other financial institutions cover a broad spectrum of securities work including:

  • Negotiating, drafting and closing various agreements and other documents in preparation for the IPO, such as the offering circular/prospectus, domestic and international underwriting agreements, selling agreements and agency agreements;


  • Preparing applications and supporting documents for the registration of the offering with the Philippine Securities and Exchange Commission and listing of the shares with the Philippine Stock Exchange;


  • Liaising with and obtaining the necessary approvals from the Philippine Securities and Exchange Commission and the Philippine Stock Exchange;


  • Conducting legal due diligence; and


  • Rendering advice on legal, tax and regulatory aspects and developing the appropriate structure for the offering.
